Terms of Use

Welcome to Cinemaya. These Terms of Use ("Terms") form a binding legal agreement between you and Cinemaya ("Cinemaya," "we," "us," or "our") regarding your access to and use of the Cinemaya mobile application and related services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR USING THE SERVICES, YOU CONFIRM THAT YOU ARE 18 YEARS OF AGE OR OLDER AND YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

These Terms contain important provisions, including a binding arbitration agreement (Section 21) and a class action waiver, which affect your legal rights.

1. Acceptance of Terms

By accessing or using the Services, you agree to these Terms, our Privacy Policy, and our Cookies Policy. If you do not agree, you must not access or use the Services. We may update these Terms from time to time as described in Section 18.

2. Eligibility

The Services are intended exclusively for users who are eighteen (18) years of age or older. By creating an account or using the Services, you represent and warrant that:

You are at least 18 years of age;
You have the legal capacity to enter into a binding contract;
You are not barred from using the Services under applicable law;
The information you provide is accurate and complete.

If we become aware that a user is under 18, we will suspend the account and delete associated data. We do not knowingly collect or process data from individuals under 18.

3. Account Registration and Security

To use the Services, you must create an account using a supported sign-in method (Apple or Google). You agree to:

Provide accurate and current information;
Maintain the confidentiality of your account credentials;
Be solely responsible for all activities occurring under your account;
Promptly notify us at support@cinemaya.ai of any unauthorized access or security breach.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are otherwise misused.

4. Description of Services

Cinemaya provides an AI-powered mobile application that enables users to generate short-form video and image content using third-party artificial intelligence models. The Services include video and image generation, custom character creation, content storage, an explore feed for shared content, and sharing features.

The Services are provided "as is" and may be modified, suspended, or discontinued at any time. Features and AI models available may change due to provider availability, performance, or platform policies.

5. Credits System

Cinemaya operates on a credits-based system. The current credit system is as follows:

Variable Credit Rates: Credits per second of video generation vary by AI model and resolution. The applicable rate is displayed in-app before each generation (for example, Runway ML Gen 4 Turbo (720p) = 10 credits/sec; Luma Ray 2 (720p) = 15 credits/sec; Kling 1.6 Pro (1080p) = 11 credits/sec; MiniMax Video-01 (1080p) = 9 credits/sec; Wan 2.1 (720p) = 25 credits/sec; Wan 2.1 (480p) = 8 credits/sec; Kling 1.6 Standard (720p) = 6 credits/sec; Google Veo 2 (720p) = 52 credits/sec; etc.).
Image Generation: 5 credits per image generated using our AI technology.
Custom Characters: Paid subscribers can create custom characters with reference images to maintain visual consistency across videos. Plan limits — Starter: 1; Basic: 5; Pro: 20. Custom characters are not available on the free plan and are not supported by certain AI models (such as Sora 2 and Sora 2 Pro).
Monthly Subscription Credits: Subscription credits reset at the start of each billing cycle and do not roll over.
Direct Credit Purchases: Credits purchased à la carte do not expire and do not reset with subscription cycles.
Approximate Estimates: Credit consumption shown in-app is indicative and approximate. Actual consumption may vary based on model behavior, resolution, duration, processing complexity, and system optimizations.
Credit Rate Changes: Credit rates, conversion ratios, and feature requirements may change due to updates in AI model pricing, performance, availability, or platform policies. Changes will be reflected in-app prior to generation.

Credits have no cash value, are not transferable, and are not redeemable for currency or refunds except as required by applicable law or as expressly stated in Section 7.

6. Subscriptions, Billing, and Auto-Renewal

Subscriptions are sold through and billed by Apple App Store or Google Play, subject to their respective terms. By subscribing, you authorize the applicable platform to charge your account at the price shown at the time of purchase.

Auto-Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled at least twenty-four (24) hours before the period ends. Renewal pricing will be the then-current price for the subscription. You can manage and cancel subscriptions through your Apple or Google account settings.

Price Changes. We may change subscription prices. Material price changes will be communicated at least thirty (30) days in advance through in-app notification or other reasonable means. Continued use after the change constitutes acceptance.

7. Refunds

All purchases are final and non-refundable except where required by applicable law or as expressly stated below.

Platform Refunds. Refund requests for purchases made through Apple App Store or Google Play are processed by Apple or Google according to their respective refund policies. We do not directly process refunds for those purchases.
Failed Generations. If a generation fails entirely due to a verified system error, the credits used will be automatically refunded to your account through the in-app credit ledger.
Statutory Rights. Users in jurisdictions such as the European Union and the United Kingdom have additional statutory rights, including limited rights of withdrawal. By initiating a video or image generation, you expressly request the immediate performance of the Services and acknowledge that, to the extent permitted by applicable law, you lose any right of withdrawal once generation has begun.

8. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with these Terms. You shall not:

Use the Services in violation of any applicable law, regulation, or third-party right;
Generate, upload, or distribute content that infringes the intellectual property, privacy, or publicity rights of others;
Create content depicting identifiable real persons (living or deceased) without their explicit consent, including but not limited to deepfakes, sexualized depictions, or content placing them in a false light;
Impersonate any person or entity or falsely state or misrepresent your affiliation;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services;
Circumvent, disable, or interfere with security or access-control features;
Use automated means (bots, scrapers, crawlers) to access the Services without our prior written permission;
Resell, sublicense, rent, lease, or commercially exploit the Services or AI models without authorization;
Transmit malware, viruses, or other harmful code;
Harvest or collect information about other users without their consent;
Use the Services to harass, abuse, threaten, defame, stalk, or harm others;
Engage in fraudulent activities, including chargebacks made in bad faith;
Attempt to override, manipulate, or game the content moderation systems.

9. Prohibited Content

You may not use the Services to generate, upload, share, or distribute content that:

Depicts sexually explicit material, nudity, or sexually suggestive content involving any person;
Sexualizes, exploits, or depicts minors in any manner whatsoever;
Depicts non-consensual sexual content or content of any individual without their consent;
Glorifies, promotes, or incites violence, terrorism, or self-harm;
Constitutes hate speech or discrimination against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic;
Promotes illegal activities, illegal goods, or controlled substances;
Constitutes harassment, bullying, or intimidation;
Spreads misinformation likely to cause harm, including election misinformation, false health claims, or fabricated news;
Infringes copyright, trademark, or other intellectual property of any third party, including the unauthorized use of brand names, logos, or fictional characters;
Depicts identifiable real persons, including public figures, without their explicit consent;
Is otherwise unlawful or violates applicable platform guidelines (Apple App Store and Google Play).

Violating content will be removed. Repeat or severe violations may result in account suspension or termination without refund.

10. AI-Generated Content

You understand and acknowledge that:

The Services use third-party AI models, including but not limited to those operated by Replicate, Runway, Luma, Kling, MiniMax, Google, Wan, and OpenAI. We do not control these models and cannot guarantee specific outputs.
AI-generated content may contain inaccuracies, errors, biases, unexpected results, or unintended outputs notwithstanding our content moderation efforts.
AI outputs may unintentionally resemble existing works, persons, or styles. We make no representation that AI outputs are free from third-party rights claims.
You are solely responsible for reviewing AI-generated content before downloading, sharing, distributing, or using it commercially.
AI-generated content from the Services should not be relied upon for any critical decision or for medical, legal, financial, or safety-related purposes.
We do not use your prompts, uploaded content, or generated outputs to train AI models. User content is processed solely to provide the Services to you.

11. User Content and License

Your Content. You retain all ownership and intellectual property rights you may have in the prompts, scripts, custom character references, generated outputs, and other content you create, upload, or generate using the Services ("User Content"), subject to the rights and licenses of the underlying AI models and applicable law.

Visibility Settings. Cinemaya offers two visibility settings for User Content:

Public: The default setting for all generated content. Free users cannot change this setting; paid subscribers may keep content Public if they choose. Public content appears on the in-app explore feed and is visible to other users of the Services.
Private: Available to paid subscribers only. Private content is visible only to you, does not appear on the explore feed, and is not used for marketing or promotion.

License for Public Content. By using the Services, and in particular by generating content that is Public (whether by default as a free user, or by choice as a paid subscriber), you grant Cinemaya a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, process, transmit, display, reproduce, adapt, publicly perform, modify, and otherwise use the Public User Content for the following purposes:

Operating, providing, and improving the Services;
Displaying the content on the in-app explore feed and other in-app surfaces;
Promoting, marketing, and advertising Cinemaya and the Services across any media or platform, including on Cinemaya's social media accounts (such as Instagram, YouTube, TikTok, and X), Cinemaya's website, app store listings, advertising campaigns, and third-party platforms;
Showcasing the capabilities of the Services to prospective users, partners, and investors.

This license includes the right to attribute the content to you (using your display name or handle) or to use it without attribution, at our discretion. We will not falsely claim authorship of User Content as Cinemaya's own creative work.

The marketing license described above continues for as long as the User Content remains Public on the Services. If you (where eligible) change content from Public to Private or delete it, we will cease new marketing use of that specific content within a reasonable period; however, you acknowledge that Cinemaya may retain copies of marketing materials already produced or published that incorporate the content.

License for Private Content. For User Content set to Private, you grant Cinemaya only a limited operational license to host, store, process, transmit, display to you, and back up the content, solely for the purpose of providing the Services to you. Private content is not displayed to other users and is not used for marketing, promotion, or training of AI models.

Your Representations and Warranties. You represent and warrant that:

You own or have all necessary rights, licenses, and consents in your User Content;
Your User Content does not infringe any third-party intellectual property, privacy, publicity, or other rights;
Your User Content complies with these Terms and applicable law;
You have obtained all necessary consents from any individuals depicted in or identifiable from your User Content;
You understand and accept that Public content may be used by Cinemaya for marketing and promotional purposes as described above.

Right to Remove. We may remove User Content that violates these Terms, applicable law, or third-party rights, at our sole discretion and without prior notice.

12. Intellectual Property of Cinemaya

All rights, title, and interest in and to the Services, including the Cinemaya name and logo, software, designs, text, graphics, AI orchestration technology, and other proprietary materials (excluding User Content and third-party AI models) are owned by Cinemaya and protected by applicable intellectual property laws.

You are granted a limited, non-transferable, non-exclusive, revocable license to use the Services for personal and commercial creative use, subject to these Terms.

13. Copyright Infringement and Takedown

We respect intellectual property rights. If you believe content available through the Services infringes your copyright, please send a notice to support@cinemaya.ai with the subject "Copyright Notice" containing:

Identification of the copyrighted work claimed to be infringed;
Identification of the allegedly infringing material and its location within the Services;
Your contact information (name, address, phone, email);
A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law;
A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner;
Your physical or electronic signature.

We will investigate and respond to valid notices in accordance with applicable law. We may remove allegedly infringing content and may terminate accounts of repeat infringers.

14. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Cinemaya and its officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your access to or use of the Services;
Your User Content, including the prompts you submit and the content you generate, share, or distribute;
Your violation of these Terms;
Your violation of any applicable law or any third-party right, including intellectual property, privacy, or publicity rights;
Any content you generate or share that depicts or refers to third parties, including claims of defamation, false light, right of publicity, or unauthorized use of likeness.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully with our defense.

15. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CINEMAYA DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS;
WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF AI-GENERATED OUTPUTS;
WARRANTIES THAT THE SERVICES OR OUTPUTS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

NOTHING IN THESE TERMS LIMITS OR EXCLUDES ANY WARRANTY OR LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING MANDATORY CONSUMER PROTECTION LAWS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL CINEMAYA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO CINEMAYA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD 100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS AFFECTS YOUR STATUTORY RIGHTS AS A CONSUMER WHERE THOSE RIGHTS CANNOT BE EXCLUDED OR LIMITED.

17. Termination

By You. You may terminate your account at any time through the in-app account deletion option in Settings, or by contacting support@cinemaya.ai. Termination will result in deletion of your account and User Content within thirty (30) days, except where retention is required by law.

By Us. We may suspend or terminate your account at our discretion, with or without notice, for breach of these Terms, illegal activity, fraud, or to protect the Services or other users. Upon termination:

Your right to use the Services ceases immediately;
Unused credits and subscription fees are forfeited unless required to be refunded by law;
Sections that by their nature should survive (including Sections 11–16, 20, 21, and 23) will survive.

18. Modifications to Services and Terms

We may modify the Services or these Terms at any time. Material changes to these Terms will be communicated through in-app notice or other reasonable means at least thirty (30) days before they take effect, except where shorter notice is required by law, for security, or for legal compliance reasons. Continued use after changes take effect constitutes acceptance.

19. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, share, and protect your information.

20. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

This choice of law does not deprive consumers of the protection afforded to them by mandatory provisions of the law of their country of residence.

21. Dispute Resolution and Arbitration

Informal Resolution. Before initiating arbitration, you agree to first contact us at support@cinemaya.ai to attempt to resolve the dispute informally. We will attempt to respond within thirty (30) days.

Binding Arbitration. Except as provided below, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration administered under the Arbitration and Conciliation Act, 1996 of India.

The seat and venue of arbitration shall be Mumbai, India.
The arbitration shall be conducted by a sole arbitrator.
The arbitration shall be conducted in English.
The award shall be final and binding on both parties.

Class Action Waiver. YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THIS WAIVER MAY NOT BE ENFORCEABLE IN SOME JURISDICTIONS.

Exceptions. Either party may seek injunctive or equitable relief in court for intellectual property infringement, misappropriation, or violation of confidentiality obligations. Either party may bring qualifying claims in small claims court.

Consumer Carve-Outs. Where applicable consumer protection laws (including in the European Union, the United Kingdom, and certain Indian consumer forums) provide non-waivable rights to bring claims in local courts, those rights are preserved.

22. Grievance Officer (India)

In compliance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 of India, the grievance officer for Cinemaya is:

The grievance officer will acknowledge complaints within twenty-four (24) hours and resolve them within fifteen (15) days of receipt.

23. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and Cookies Policy, constitute the entire agreement between you and Cinemaya regarding the Services.

Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. We are not liable for delays or failures caused by circumstances beyond our reasonable control (including acts of God, war, pandemics, internet failures, third-party service outages, or government actions).

Notices. We may provide notices through the Services, by email, or through other reasonable means.

Relationship of the Parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

No Third-Party Beneficiaries. These Terms do not create any rights for third parties.

English Language. The English version of these Terms governs in case of any conflict with a translation.
